  • The Position

    We are seeking a candidate for a Vice President to manage our Mergers and Acquisitions (M&A) process within our Corporate Finance team. This position will report to our Senior Vice President / Deputy Chief Financial Officer and have a high degree of accountability to our Executive Vice President, Strategy & Distribution.   The role will primarily be focused on M&A project management and financial modeling, analysis and support. In addition, the individual will have a broad range of responsibilities in our finance group as well as exposure across the organization, including internationally, offering opportunities to be involved with other finance functions.

    This role offers the opportunity to learn about the Company's insurance segment operations and provide insight into how the business is managed and our competitive position. This individual will have a high degree of interaction with operating executives, officers, and other members of the finance teams throughout the organization. The ideal candidate has strong written and oral communication skills, an analytical mindset, the ability to multitask in order to effectively manage his or her time across various roles and responsibilities and a strong teamwork orientation.

    • M&A oversight will span from the initial evaluation of opportunities through the closing.
      • Evaluate M&A opportunities using the Arch criteria screen as they are presented and draft recommendation memos on further action.
      • Coordinate the drafting and terms for non-disclosure agreements.
      • Manage due diligence process and work collaboratively and develop strong relationships with other teams (Legal, Actuarial, Business units, IT, etc.) to ensure the complete evaluation of M&A transactions.
      • Manage financial models to project impact of transaction on Arch, including financial returns
      • Assist with M&A deal execution and documentation, including the negotiation of purchase agreements, supplemental documents and representations and warranties insurance policies.
      • Develop and maintain relationships with third parties to facilitate transactional execution.
    • Standardize acquisition process, including due diligence checklist preparation, financial models and template agreements
    • Work closely with senior business leaders to understand M&A strategy and provide suggested targets
    • Maintain relationships with third party sources of opportunities
    • Review competitor financial statements, investor presentations and publications to provide insight into industry trends
    • Continuously promote efficiency, including standardizing practices across geographies and teams
    • Display teamwork, integrity and leadership

    • Familiarity with stages of a M&A process, including due diligence, modeling and documentation
    • Formal knowledge of insurance financial statements, including balance sheet and income statement, and ability to interpret relationships within financial results

    Required Education/Experience 

    • Either a degree in Accounting, Business Administration or Finance, preferably with an MBA or a Legal background focusing on M&A
    • Prior M&A experience
    • A strong knowledge of the Property & Casualty insurance market
